Disclosure Policy Framework Document
Turkcell's Disclosure Policy has been designed to promote the timely, accurate, complete, clear and fair disclosure of information concerning Turkcell's activities to the public.
Turkcell discloses information in accordance with local and international capital markets laws and regulations. Turkcell is subject to regulations of Capital Markets Board of Turkey (CMB), Istanbul Stock Exchange (ISE) and Security Exchange Commission of United States (SEC), New York Stock Exchange (NYSE) regulations
The Company Management has established a Disclosure Committee to oversee company disclosures to ensure compliance with relevant regulations.
Turkcell enforces a "Quiet Period" policy which is the period before the official announcement of results when company representatives cannot disclose information concerning the upcoming results. The Quiet Period starts three weeks prior to the year-end results announcements and two weeks prior to the quarterly results announcement.
Turkcell enforces a "Black-Out Period" policy which is the period when company employees cannot trade Turkcell shares. The Black-Out Period starts one week earlier than the Quiet Period and ends 2 days later than the Quiet Period.
Turkcell has established procedures for periodic and non-periodic information disclosure. Periodically, Turkcell prepares Financial Statements based on the Capital Markets Board Communiqué Serial: XI No:25 and USGAAP on quarterly basis, and Annual Reports once a year and submits them to relevant authorities. These announcements are published on Company's web site.
Turkcell management regularly organises teleconferences to present quarterly financial results to analysts and investors and to answer questions from the participants.
Turkcell also prepares non-periodic announcements which include special circumstance announcements and press releases prepared in accordance with SEC, NYSE, CMB and ISE regulations. Turkcell submits these announcements that are prepared both in English and Turkish, to relevant authorities and publishes them on Company's web site.
Turkcell has an Investor Relations Department of which the representatives, in line with regulations, periodically meet with analysts and investors for the purpose of discussing developments related to company strategies and activities, the sectors and markets in which Turkcell operates and the legislation and regulations to which Turkcell is subject. Turkcell management also periodically organizes meetings with media representatives to provide publicly available information and answer questions.
